1. Acceptance of these Terms

These Terms of Service ("Terms") govern your use of Fitqi, including the mobile applications, public websites, widgets, Live Activities, subscriptions, community services and related features operated by QUODELABS SOFTWARE DEVELOPMENT SERVICES ("Fitqi", "we", "us" or "our").

By creating an account, accessing or using Fitqi, you agree to these Terms and the documents incorporated by reference. If you do not agree, do not use Fitqi.

Some features may include additional rules presented before participation, including subscription terms, challenge rules, competition rules, community guidelines, promotion rules and consent notices. Those additional rules form part of these Terms for the relevant feature.

2. Quick summary

• Fitqi provides fitness and wellness tools, not medical diagnosis, treatment or emergency services.
• You are responsible for using Fitqi safely and reviewing estimates and recommendations.
• Community content must follow the Community Guidelines and may be moderated or removed.
• Subscriptions are billed and managed through Apple or Google using the live store terms displayed at purchase.
• Fitcoins are an in-app feature, are not cash and may be corrected when fraud or technical errors occur.
• You keep ownership of your content but give Fitqi permission to host and display it according to your audience choices.

4. Eligibility

You may use Fitqi only if:

• you are at least 13;
• you are legally able to agree to these Terms;
• any legally required parental or guardian consent has been obtained through an approved process;
• your use is lawful in your location; and
• you are not subject to sanctions or restrictions that prohibit the use of Fitqi.

Unless we agree otherwise in writing, Fitqi is provided for personal, non-commercial use.

5. Your account

You agree to:

• provide accurate information and keep it current;
• protect your login credentials and device;
• avoid selling, transferring, sharing or impersonating another person’s account;
• notify support@fitqi.com promptly if you suspect unauthorized access; and
• cooperate with reasonable verification, security and fraud-prevention measures.

You are responsible for activity under your account except where applicable law provides otherwise.

6. The Fitqi service

Fitqi may offer tools for workouts, exercise programs, scheduling, activity tracking, nutrition, hydration, body metrics, health connections, recovery context, optional cycle features, fasting, community, Fitcheck, messaging, squads, challenges, duels, Fitcoins, learning, Qiqi, Smart Scan, notifications, widgets and related functions.

Feature availability may vary by device, operating system, country, permission, store configuration, subscription, staged rollout or technical compatibility. A description of an experimental or planned feature is not a guarantee that it will launch or remain available.

7. Fitness, health and wellness notice

Fitqi is for general informational, fitness and wellness purposes.

• Fitqi is not a medical device unless explicitly identified with applicable regulatory information.
• Fitqi does not diagnose, treat, cure or prevent disease.
• Fitqi is not a substitute for a doctor, registered dietitian or other qualified professional.
• Do not use Fitqi for emergency decisions. Contact local emergency services in an emergency.
• Consult an appropriate professional before beginning or changing exercise, nutrition, fasting or wellness activities, particularly if you are pregnant, injured, under medical care or have a health condition.
• Stop an activity and seek appropriate help if you experience pain, faintness, breathing difficulty or another concerning symptom.

Calories, macros, energy expenditure, recovery scores, training suggestions, cycle predictions, fasting phases, Smart Scan outputs and Qiqi responses are estimates. They may be incomplete, delayed or incorrect.

8. Qiqi and Smart Scan

• Qiqi provides coaching-style information and suggestions. It does not provide medical, legal, financial or emergency advice.
• Smart Scan attempts to identify food and estimate nutrition from information you submit. Review and correct results before relying on or saving them.
• Generated outputs may not be accurate, complete, unique or suitable for your circumstances.
• Do not submit unlawful content or another person’s confidential information without permission.
• Usage limits and Pro access may vary according to the live product and entitlement configuration.

9. Your content

You retain ownership of content you submit to Fitqi, including posts, comments, photos, videos, messages, Fitcheck content, profile information and challenge proof.

You grant Fitqi a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, technically format, transmit and display your content only as needed to operate, secure, improve and provide Fitqi according to your selected audience, settings and these Terms.

This license ends when the content is deleted from active systems, subject to temporary backups, legal/safety retention and copies independently retained or reshared by others.

You represent that:

• you own or have permission to submit the content;
• the content and its use by Fitqi under these Terms do not violate law or another person’s rights; and
• you selected an appropriate audience for sensitive or location-linked content.

Product feedback and general suggestions may be used without restriction or compensation, but Fitqi does not claim ownership of private user content.

10. Community conduct and moderation

The Community Guidelines are incorporated into these Terms. Fitqi may use automated systems and human review to detect, limit, remove or investigate content or behavior that may violate law, these Terms or the Community Guidelines.

You must not:

• harass, threaten, bully, exploit, discriminate against or impersonate others;
• post illegal, dangerous, sexually exploitative, hateful, fraudulent or rights-infringing content;
• publish another person’s health, body, location, financial or private information without authorization;
• spam, manipulate engagement, coordinate abuse or evade blocks or moderation;
• promote unsafe fitness, fasting or health conduct; or
• knowingly submit false reports.

Fitqi may remove content, limit visibility, restrict features, suspend accounts or refer matters to authorities where appropriate. Where practical and legally permitted, we may provide notice or an appeal route. We are not required to host any particular content.

11. Fitqi Pro subscriptions

• Prices, billing periods, trial eligibility, renewal terms and included benefits are the live terms displayed by Apple App Store or Google Play at purchase.
• Subscriptions renew automatically unless cancelled through the applicable store before its renewal cutoff.
• Deleting Fitqi or your Fitqi account does not automatically cancel a store subscription.
• Restore Purchases verifies eligible store transactions; it does not create an entitlement without a valid store record.
• Refunds and billing disputes are handled under the applicable store’s policies except where law requires otherwise.
• We may change Pro features prospectively.
• Fitqi will not intentionally gate basic access to user-owned history, export, correction, deletion or privacy controls behind Pro.

12. Fitcoins and digital rewards

Fitcoins are a limited, revocable in-app feature. They are not money, legal tender, stored value, cryptocurrency or a promise of cash value.

• Fitcoins may be earned or used only through active Fitqi rules and features.
• Fitcoins may not be sold, purchased outside approved flows, transferred for value or exchanged for cash unless Fitqi introduces a separately approved feature.
• The server record controls balances, rewards, stakes and settlement.
• Fitqi may correct duplicate, fraudulent, reversed or technically erroneous entries.
• Reward access may be suspended during a fraud or abuse investigation.
• Expiry or material rule changes must be disclosed by the applicable feature rules and comply with law.

13. Challenges, Proof Pacts, duels and squads

Each competition or accountability feature may include separate eligibility, timing, evidence, scoring, stake, settlement and appeal rules displayed in the feature.

• Participation is voluntary.
• Do not participate in a challenge that is unsafe or inappropriate for your health.
• Do not fabricate proof, automate participation, collude or manipulate outcomes.
• Do not harass participants or expose another person’s private information.
• Fitqi may investigate disputes and correct outcomes using server records and applicable rules.
• Unless official rules expressly say otherwise, Apple and Google do not sponsor or administer Fitqi challenges, competitions or rewards.

14. Acceptable use

You must not:

• access accounts, systems or data without authorization;
• bypass security, rate limits, paywalls, moderation, permissions or entitlement controls;
• scrape, harvest, index or reproduce Fitqi at scale without written permission;
• upload malware or interfere with the service;
• probe vulnerabilities without authorization;
• reverse engineer or attempt to extract source code except where such a restriction is prohibited by law;
• commit purchase fraud, chargeback abuse, reward manipulation or credential trafficking;
• use Fitqi to facilitate unlawful, dangerous or deceptive conduct; or
• use Fitqi to provide regulated medical services or professional advice without required authority and a separate agreement.

15. Third-party services and connected platforms

Fitqi may interoperate with Apple Health, Health Connect, Apple App Store, Google Play, RevenueCat, maps/place-search providers and other third-party products.

Your use of those products may also be governed by their terms and privacy notices. Fitqi is not responsible for independent third-party services, store outages, device limitations or data you direct a third party to provide or receive.

16. Privacy

The Fitqi Privacy Policy explains how we handle personal data. Where consent is legally required, we request it separately from acceptance of these Terms.

17. Fitqi intellectual property

Fitqi and its software, design, branding, logos, text, graphics, databases, compilations and other materials are owned by QUODELABS SOFTWARE DEVELOPMENT SERVICES or its licensors and are protected by applicable law.

Subject to these Terms, Fitqi grants you a personal, limited, non-exclusive, non-transferable, revocable license to use the consumer application on devices you own or control for its intended purpose.

18. Changes, availability and updates

• We may update, improve, restrict or discontinue features for security, legal, platform, operational or product reasons.
• We do not guarantee uninterrupted or error-free availability.
• You may need to install an update or new native build to continue using certain features.
• Experimental features may be staged, modified or withdrawn.

19. Suspension and termination

You may stop using Fitqi at any time and may request account deletion through the app or https://fitqi.com/help. Cancelling a store subscription is a separate step.

We may restrict, suspend or terminate access when reasonably necessary for security, fraud prevention, legal compliance, non-payment, harm to others or serious/repeated violations. Where practical and legally permitted, we will provide notice and an opportunity to appeal.

Termination does not remove obligations or rights that by their nature survive, including payment obligations, ownership, enforcement rights, disclaimers and dispute terms.

20. Disclaimers

To the maximum extent permitted by law, Fitqi is provided on an “as is” and “as available” basis. We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation.

We do not warrant that recommendations, health context, Smart Scan results, Qiqi outputs, community content, competition outcomes or third-party information are accurate or suitable for your circumstances.

Nothing in these Terms excludes consumer rights or warranties that cannot lawfully be excluded.

21. Limitation of liability

To the maximum extent permitted by applicable law, QUODELABS SOFTWARE DEVELOPMENT SERVICES and its affiliates, officers, employees and suppliers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, data, goodwill or opportunities, arising from or related to Fitqi.

To the maximum extent permitted by law, our aggregate liability for claims relating to Fitqi will not exceed the greater of:

1. the amount you paid to Fitqi for the service during the twelve months before the event giving rise to the claim; or
2. USD 100.

These limitations do not apply where prohibited by law or to liability that cannot legally be limited, including certain liability for fraud, deliberate misconduct, death or personal injury.

22. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless QUODELABS SOFTWARE DEVELOPMENT SERVICES and its affiliates from third-party claims, losses and reasonable costs arising from your unlawful use of Fitqi, your content or your material violation of these Terms.

This obligation does not apply to the extent a claim results from Fitqi’s own conduct or where consumer law prohibits it.

23. Additional terms for Apple users

• These Terms are between you and QUODELABS SOFTWARE DEVELOPMENT SERVICES, not Apple.
• Apple is not responsible for Fitqi, its content, support, maintenance, warranties or claims, except as required by applicable law.
• Your license to use the iOS app is limited to Apple-branded products you own or control and as permitted by the App Store Usage Rules, including permitted Family Sharing or volume-purchase arrangements.
• Apple and its subsidiaries are intended third-party beneficiaries of this section and may enforce it.
• You represent that you are not located in a country subject to a United States government embargo and are not listed on a prohibited or restricted-party list.

24. Governing law and disputes

These Terms are governed by the laws of the Republic of the Philippines, excluding conflict-of-law rules, subject to mandatory consumer protections that apply where you live.

Disputes will be handled through the competent courts of Manila, Republic of the Philippines. Nothing prevents either party from seeking urgent injunctive relief or using a consumer authority or small-claims process where legally available.

25. General terms

• If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue.
• Failure to enforce a provision is not a waiver.
• You may not assign these Terms without our written consent.
• We may assign these Terms in connection with a reorganization, financing, merger, acquisition or transfer of the service, subject to applicable law.
• These Terms, the Privacy Policy and incorporated feature rules are the entire agreement regarding Fitqi unless another written agreement applies.
• Headings are for convenience and do not affect interpretation.

26. Changes to these Terms

We may update these Terms to reflect service, legal or operational changes. We will update the effective date and provide additional notice where required.

Continued use after the effective date constitutes acceptance where permitted. Where affirmative acceptance is required, we will request it.
